Legal Agreement

Accurate Information
You warrant that all information provided to us is accurate, complete, and not misleading. You must inform us promptly of any changes to information previously provided, including contact details, property access information, or special requirements.
Property Safety and Access
You are responsible for:
- Ensuring safe access to and within your property
- Disclosing all hazards, including pets, structural issues, or dangerous materials
- Providing secure and working access methods (keys, codes, etc.)
- Ensuring the property is in a condition that allows safe cleaning
- Removing or securing items of significant personal or monetary value
Conduct and Behaviour
You agree to treat our staff with respect and courtesy. Any form of harassment, discrimination, threatening behaviour, or abuse will not be tolerated and may result in immediate termination of services without refund. This includes verbal abuse, inappropriate conduct, or creating an unsafe work environment.
Indemnification
You agree to indemnify and hold harmless Brightwell, its directors, employees, and agents from any claims, damages, or expenses arising from your breach of these terms, your use of our services, or any negligent or unlawful conduct on your part.
Privacy and Confidentiality
While our staff may have access to your property and observe personal items during service delivery, we maintain strict confidentiality regarding your private affairs. You acknowledge that our staff may need to access various areas of your property to complete services, and you consent to this access.
Disclaimers, Warranties, and Limitations of Liability
Service Disclaimer
While we strive to provide excellent cleaning services, we make no warranties or representations regarding:
- Complete removal of all stains, marks, or odours (some may be permanent)
- Restoration of items to their original condition
- Results on surfaces that are damaged, worn, or of unknown material composition
- Outcomes affected by factors beyond our control
Limitation of Liability
To the fullest extent permitted by law, Brightwell's liability is limited as follows:
- Maximum Liability: Our total liability for any claim shall not exceed the amount paid for the specific service giving rise to the claim
- Indirect Damages: We are not liable for indirect, consequential, incidental, or punitive damages, including lost profits, business interruption, or emotional distress
- Pre-existing Damage: We are not liable for damage that existed before our service or for deterioration due to age, wear, or inherent defects
- Undisclosed Items: We are not liable for damage to items not disclosed to us or items that should reasonably have been removed before cleaning
- Third Party Claims: We are not liable for claims by third parties unless arising from our gross negligence
Insurance Coverage
We maintain professional liability insurance. However, insurance coverage is subject to policy terms and conditions. Claims must be reported promptly to allow investigation and processing.
Warranty Disclaimer
Services are provided "as is" without warranties of any kind, express or implied, including implied warranties of merchantability or fitness for a particular purpose. We do not warrant that our services will meet all your requirements or expectations.
Consequential Damages Exclusion
Under no circumstances shall Brightwell be liable for any consequential, incidental, special, or exemplary damages, including but not limited to loss of income, loss of opportunity, costs of replacement services, or any other losses arising from our services or failure to provide services.
Force Majeure
We are not liable for failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, severe weather, pandemics, strikes, civil unrest, government actions, or utility failures.
Claims and Complaint Procedures
Reporting Claims
All claims must be reported to us within 24 hours of service completion. Claims reported after this period may not be accepted. To file a claim, you must:
- Provide written notice describing the issue in detail
- Include photographic evidence where possible
- Preserve the condition of the area or item in question
- Allow us reasonable opportunity to inspect and rectify the issue
Investigation and Resolution
We will investigate all legitimate claims promptly and fairly. We reserve the right to inspect the property or item in question as part of our investigation. Resolution may include re-cleaning, repair, replacement, or financial compensation, at our discretion and within the limitations set forth in these terms.
Complaints
We take complaints seriously and aim to resolve them quickly. Please contact us directly with any concerns. We will acknowledge your complaint within two business days and provide a full response within 14 days. If you remain dissatisfied, you may escalate the matter through the dispute resolution procedures outlined in these terms.
Legal Framework and Dispute Resolution
Governing Law and Jurisdiction
These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. You irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms or their subject matter.
Dispute Resolution Process
In the event of a dispute, the parties agree to follow this escalation process:
- Direct Negotiation: Good faith discussions between the parties to reach an amicable resolution
- Mediation: If direct negotiation fails, both parties agree to attempt mediation through a mutually agreed mediator
- Arbitration: Should mediation prove unsuccessful, disputes may be submitted to arbitration in accordance with the rules of the Centre for Effective Dispute Resolution (CEDR)
- Litigation: Only as a last resort, either party may commence court proceedings
Severability Clause
If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from these terms and the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.
Assignment
You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations to a successor entity in the event of a merger, acquisition, or sale of assets.
Waiver
No waiver of any provision of these terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
Entire Agreement
These Terms and Conditions, together with our Terms of Service, Privacy Policy, and any written service agreements, constitute the entire agreement between you and Brightwell and supersede all prior understandings, agreements, or representations.
Modifications to Terms
We reserve the right to modify these Terms and Conditions at any time. Modifications will be effective immediately upon posting on our website. Your continued use of our services after modifications constitutes acceptance of the updated terms. We will make reasonable efforts to notify existing clients of significant changes.
Your Consumer Rights
Nothing in these Terms and Conditions affects your statutory rights as a consumer under UK law. The Consumer Rights Act 2015 provides certain protections, including the right to expect services to be performed with reasonable care and skill. These terms do not seek to exclude or limit any rights you may have that cannot lawfully be excluded or limited.
